The Kingdom Community Housing Coin , will be a Tokenized Regulation A Tier II membership interest. This structure allows for broad adoption. A Regulation A offering — sometimes referred to as a “mini IPO”— is a type of exempt offering that permits a company to offer and sell securities to the public through a process that is similar to, but less extensive than, a registered offering. Regulation A is a U.S. securities law exemption that allows companies to offer and sell securities without having to register with the SEC, making it easier for small and medium-sized businesses to raise capital.
Companies considering a Regulation A offering are permitted to “test the waters,” or solicit interest, for a potential offering from the general public, either before or after the filing of the offering statement. “Testing the waters” is permitted only if the solicitation materials comply with certain legend and filing requirements. The Universal Faith NYC Emergency Housing Coin uses an ETH-20 based on blockchain technology to Tokenize the Regulation A shares.
The Kingdom Community Empowerment Housing Coin will “test the waters” for a 90 day period.
